1. About Basera Trades

Basera Trades (“we,” “us,” “the platform”) is a Canadian online contractor directory that connects homeowners across Canada with independent local trade businesses — including plumbers, electricians, HVAC technicians, roofers, general contractors, carpenters, and appliance repair specialists.

We provide digital infrastructure for displaying businesses, scheduling job inquiries, presenting portfolio craftsmanship, and automating customer reviews. We are solely an information and communications conduit; we are not a general contractor, employer, labor subcontractor, financial processor, or a contracting party to any agreement formed between a homeowner and a trade business.

2. Platform Eligibility

You must be at least 18 years of age and able to form binding civil legal contracts to utilize this platform. Trade businesses listing on our directory must be legally authorized to operate within their respective Canadian municipal and provincial jurisdictions. By creating a contractor account or submitting an appointment request, you affirm that you satisfy these criteria.

3. Contractor Badging & Independent Due Diligence

While Basera Trades administers an optional Business Verification process enabling contractors to submit documentation (such as commercial general liability insurance or provincial registrations) to display “Verified” or “Insured” trust badges, Basera Trades makes no guarantees, warranties, or legal representations regarding the uninterrupted validity, accuracy, or coverage limitations of submitted third-party credentials.

Homeowners remain solely responsible for performing their own independent due diligence—including confirming active municipal licensing and appropriate WorkSafe/WCB good standing—prior to authorizing work or granting property access. Under no circumstances shall Basera Trades be liable for any acts, omissions, property damage, or disputes involving individuals or entities discovered through our directory.

4. Early Adopter Program & Zero-Fee Structure

Basera Trades currently provides contractor accounts under our Early Adopter Program. Founding contractor accounts benefit from free core directory listings, booking management tools, and zero per-lead or job commission fees.

We reserve the right to introduce optional paid enhancement tiers, promoted placements, or adjusted subscription structures for new registrants in the future. Any pricing modifications will be communicated with reasonable advance written notice and will respect the established privileges of our early adopter contractors.

5. Booking Requests & Cost Estimates

Scheduling dates, target completion windows, and approximate pricing estimates generated or conveyed through our platform are preliminary diagnostic communications only. They do not represent a legally binding offer or a definitive contractual quote. Final job scopes, material costs, warranties, and financial settlements are decided exclusively between the homeowner and the tradesperson.

6. Customer Reviews & Reputation Integrity

To preserve authentic consumer trust, customer reviews prompted by Basera Trades are tethered to completed service requests logged within the contractor dashboard. Fabricated ratings, incentivized feedback, abusive language, or competitor disparagement are strictly prohibited and will be purged immediately upon moderation review.

7. Prohibited Platform Activities

Users explicitly agree not to use Basera Trades to:

• Transmit falsified business identities, fraudulent reviews, or counterfeit credentials;
• Harass, threaten, or discriminate against any homeowner or tradesperson;
• Attempt unauthorized data interception, vulnerability harvesting, or server disruption;
• Scrape or commercially aggregate contractor telephone numbers or homeowner inquiries;
• Violate any local, provincial, or federal statute within Canada.

8. Account Suspension & Termination

We reserve the discretionary right to suspend, restrict, or terminate any user account without prior notice if we determine that an individual or entity has violated these Terms of Service or engaged in conduct detrimental to community trust and platform integrity.

9. Limitation of Liability & Warranty Disclaimer

Basera Trades is provided on an “as is” and “as available” basis without statutory or commercial warranties of any nature. To the maximum extent permitted by applicable Canadian jurisprudence, we disclaim liability for all direct, indirect, special, or consequential damages—including property losses, project delays, personal injury, or financial harm—arising out of your connection with any trade professional or homeowner through this platform.

10. Indemnification & Hold Harmless

You explicitly agree to indemnify, defend, and hold harmless Basera Trades, its founders, directors, employees, and technological affiliates from and against any and all third-party civil claims, statutory penalties, damages, property losses, liability verdicts, and financial costs (including legal defense counsel and judicial representation fees) arising from or related to: (a) your use of the directory; (b) your breach of these Terms of Service or provincial consumer protection statutes; (c) any craftsmanship defects, safety violations, financial disputes, or fraudulent activities resulting from service appointments scheduled through our digital infrastructure.

11. Governing Law & Jurisdiction

This Terms of Service agreement is governed in all respects by the civil and commercial laws of the Province of Saskatchewan and the applicable federal laws of Canada. Any civil legal actions or dispute resolution proceedings arising from platform utilization shall fall under the exclusive jurisdiction of the judicial courts of Saskatchewan.
